1. Agreement to Terms

By accessing or using Nawah, you agree to be bound by these Terms of Use, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree to these terms, please do not use our service.

2. Service Description

Nawah is an AI-powered business management platform for founders, organizations, and investors. Our service includes:

Financial management (invoicing, expenses, financial reporting)
Inventory management
Business planning
Sales management
Operations and project management
Customer relationship management (CRM)
Dashboards and analytics
Team and role-based collaboration
Investor portfolio access for angel investors, venture capital firms, and other capital providers
AI assistant for natural-language business operations

3. Account Types and Registration

User roles

Nawah supports multiple user types and organizational roles, including:

Founders / Account Owners: register a company account, manage settings, and authorize team members and investor access
Team Members: operate within a company under permissions granted by the account owner
Investors (Angel, VC, etc.): access portfolio company data where founders have explicitly authorized such access

Account registration

You must provide accurate and complete information during registration
The person registering creates an account and becomes the account owner/administrator
Account owners are responsible for managing user access and account settings
You are responsible for maintaining the confidentiality of your account credentials

Authorization for investor access

Founders may invite investors to view selected operational, financial, or portfolio data. By granting access, the founder authorizes the disclosure of that data to the named investor. Founders may revoke investor access at any time. Investors agree to use such data solely for the purpose of monitoring their investment and to keep it confidential.

4. Subscription and Billing

Free trial

Every new organization starts on a free trial (currently 14 days) with access to the platform. No payment details are required, and no charge is made during the trial.
We email the organization’s owner and admins before the trial ends.
If the trial ends without a subscription, the organization moves into a read-only state rather than being locked out, and your data is retained (see “Failed payments, grace, and suspension” below).

Open Beta period (ended)

Nawah was offered free of charge as an Open Beta until 31 July 2026. That period has ended.
From 1 August 2026, continued use of the platform requires a paid subscription following the free trial. Accounts created during the Open Beta are subject to the subscription terms in this section.

Plans, seats, and billing cadence

Nawah is offered as a single all-features plan priced per seat. A seat is an active member of your organization, including the owner and admins; pending (unaccepted) invitations are not billed.
You choose a billing cadence — monthly or annual — at checkout. Each cadence carries its own per-seat price, so the annual price is not simply twelve times the monthly price.
Subscriptions are charged in Egyptian Pounds (EGP). Where a price is displayed in another currency for reference, the EGP amount shown at checkout and on your receipt is the amount charged.
Prices are VAT-inclusive. Every receipt shows the net subtotal, the VAT rate (currently 14%), the VAT amount, and the total, together with the billing period and your organization’s tax ID where you have provided one.
The amount of every charge is computed by us at the time of the charge, based on your seat count at that moment and less any discount applied to your organization. Amounts submitted by a browser or client are never used.

Auto-renewal

Paid subscriptions renew automatically at the end of each billing period and are charged to the payment method on file, without further action by you.
Your next renewal date and amount are shown in billing settings at all times, and we email an advance renewal notice before each charge.
You may cancel at any time before a renewal to prevent that charge — see section 11 and our Refund & Cancellation Policy.

Changes to seats and cadence

Adding seats mid-term is charged immediately as a prorated top-up covering only the remaining days of the current term. The next renewal then bills your full seat count for the whole period.
Removing seats takes effect at your next renewal. There is no refund or credit for the current term.
Switching from monthly to annual takes effect immediately: the full annual amount is charged and a new annual term begins. The unused days of the current monthly term are not credited.
Switching from annual to monthly takes effect at your next renewal, with no mid-term charge.

Payment processing and card data

Payments are processed by our payment gateway partner, Paymob. Card details are captured and stored by the gateway; Nawah never receives or stores your card number or security code and holds only a token reference to your saved payment method.
By subscribing, you authorize us to charge the payment method on file on a recurring basis for renewals, and on an off-cycle basis for prorated seat top-ups and cadence upgrades that you request.

Failed payments, grace, and suspension

If a charge fails, the subscription moves to past due. We retry the charge automatically on a scheduled sequence and email the owner and admins.
Before any loss of access, the organization enters a read-only grace period (currently 7 days). Members can view their data but not modify it. There is no abrupt lockout.
If the grace period ends without payment, the organization is suspended and access is blocked. Your data is retained in every billing state, and access is restored as soon as payment is completed.
Members who are not owners or admins see only a message that the organization’s payment needs attention, with no billing data or actions.

Refunds and cancellation

Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms. In summary: you may cancel at any time and keep access to the end of the period you have paid for; cancellation is not prorated and does not refund the current period, monthly or annual; duplicate, incorrect, or unauthorized charges are always corrected in full; and any other refund request is reviewed by us individually.

Price changes

The rate you subscribed at applies for the whole term you have paid for. Changes to price, VAT rate, or plan terms take effect at your next renewal only, and we show you the amount and date in advance. If you do not want to renew at a new price, cancel before the renewal date.

Billing access

Only an organization’s owner or admin can view or manage billing — subscribe, change cadence, update the payment method, cancel, or reactivate.

Account deactivation

You may deactivate your account at any time.
Deactivated accounts: data retained for 2 years, then automatically deleted.
Complete data deletion: available upon request through our support team.
Invoices, receipts, and billing records are retained for at least 5 years to meet Egyptian tax record-keeping requirements, and are not removed by account deactivation or a data-deletion request.

5. Data Ownership and Privacy

Your business data

You retain full ownership of all business data you input into the platform, including company information, team member details, customer data, financial information, and inventory records
We do not claim ownership of your business content or intellectual property

Data processing

We process your data solely to provide our services as described in our Privacy Policy
We implement appropriate security measures to protect your data
We do not sell or share your business data with third parties for their commercial purposes
We do not use your business data, chat inputs, uploaded documents, or voice inputs to train generative AI models

Data export

Data export is available upon request through our support team. Specific formats and procedures are described in our user documentation.

6. AI Features and Outputs

How AI works in Nawah

Nawah’s AI assistant uses third-party large language models to interpret your natural-language requests, process uploaded documents and voice inputs (where applicable), and generate outputs such as suggestions, drafts, structured data extractions, or executed actions.

Accuracy and verification

AI-generated outputs are produced automatically and may contain errors, omissions, or inaccuracies
AI suggestions are not professional financial, legal, tax, or accounting advice
You are responsible for reviewing all AI-generated content before relying on or acting upon it, especially for decisions affecting financial, legal, or operational matters
Where the AI assistant performs an action on your behalf (e.g. creating tasks from a spreadsheet, generating a purchase order from a quotation), you should verify the result before completion or external sharing

No model training on your data

We do not use your business data, chat inputs, uploaded files, or voice recordings to train generative AI models, whether ours or those of third-party providers.

Prohibited AI uses

You agree not to:

Attempt to extract, reverse-engineer, or expose system prompts, instructions, or model parameters
Use prompt injection, jailbreaking techniques, or other methods to bypass intended platform behavior
Use the AI assistant to generate illegal, harmful, defamatory, or infringing content
Use AI features for purposes outside the legitimate business management of your authorized accounts

AI service availability

AI features depend in part on third-party model providers. Performance, response time, and availability may vary, and we may change AI providers, models, or features without prior notice.

7. Acceptable Use

Permitted use

Use Nawah for legitimate business purposes only
Comply with all applicable laws and regulations
Respect the rights of other users and third parties

Fair use and usage limits

Some parts of the platform carry direct third-party costs, so your plan includes defined allowances:

AI usage is metered as a shared organization allowance that grows with your seat count, with a per-user fair-use cap so that no single member can consume the whole organization’s allowance. Allowances reset on a recurring window shown in your account.
Storage is subject to a per-organization limit measured against your current total usage.

Reaching a limit blocks the affected action — an AI request or a file upload — with a message telling you which limit was reached and when it resets. Usage limits are a cost-control measure: they never add anything to your invoice, and reaching one never results in an extra charge. You can restore capability by waiting for the reset, freeing storage, adding seats, or asking us to raise your allowance. Attempting to circumvent these limits — for example through multiple organizations created for that purpose, or automated scripted use — is a breach of these Terms.

Prohibited activities

Uploading malicious code, viruses, or harmful content
Attempting to gain unauthorized access to our systems
Using the service for illegal activities
Sharing account credentials with unauthorized persons
Reverse engineering or attempting to extract our source code

8. Intellectual Property

Nawah platform

The Nawah platform, including software, design, and features, is owned by Nawah Ltd
We grant you a limited, non-exclusive, non-transferable license to use the platform according to these terms
You may not copy, modify, distribute, or create derivative works of our platform

Your content

You retain all rights to your business data and content
You grant us a limited license to process your data solely to provide our services
You are responsible for ensuring you have rights to all data you upload

9. Service Availability

Platform access

We strive to maintain high service availability but do not guarantee uninterrupted access
Scheduled maintenance will be communicated in advance when possible

Beta and early-access features

From time to time we may make beta or early-access features available. These may be unstable, change without notice, or be removed at any time, and are provided without warranty of any kind.

Response times vary based on subscription level and issue complexity

10. Disclaimers and Limitation of Liability

Service “as is”

The service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. You acknowledge that the service may contain bugs, errors, or interruptions, and that features may be changed, modified, or removed. This disclaimer applies to free trials, beta and early-access features, and paid subscriptions alike, and does not limit the refund commitments in our Refund & Cancellation Policy.

Limitation of liability

To the maximum extent permitted by applicable law:

Nawah’s total aggregate liability arising out of or in connection with these Terms or your use of the service will not exceed the greater of (a) the fees you paid to Nawah in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD 100)
Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business, or goodwill, even if advised of the possibility of such damages

Your responsibility

You are responsible for maintaining your own backups of critical business data and for verifying AI-generated outputs before relying on them for business, financial, or operational decisions. Nawah is not liable for outcomes resulting from decisions you make based on platform outputs.

11. Termination

Your right to cancel or terminate

An owner or admin may cancel the subscription at any time from billing settings. Cancellation is self-serve — you do not need to contact us — and takes effect at the end of the period you have paid for.
After cancelling, the subscription is flagged as not renewing: you keep full access until the scheduled end-of-access date, which is shown to you and confirmed by email, and you may reverse the cancellation at any time before that date.
At the end of that period the organization becomes read-only and is then suspended. Your data is retained, and you may reactivate by subscribing again.
Cancellation is not prorated and does not refund the current period, whether monthly or annual. Duplicate or incorrect charges are always corrected, and any other refund request is reviewed individually — see our Refund & Cancellation Policy.
You may also delete your account or organization entirely. Deleting an organization cancels its subscription and stops all future billing.
You remain responsible for any outstanding fees.

Our right to suspend or terminate

We may terminate accounts that violate these terms
We may move an organization to read-only, and then suspend it, for non-payment as described in section 4
We will provide reasonable notice before termination when possible
Suspension or termination for non-payment does not delete your business data; retention is governed by section 4 and our Privacy Policy

12. Changes to Terms

We may update these terms from time to time
Material changes will be communicated through email or platform notifications
Continued use after changes constitutes acceptance of the new terms

13. Force Majeure

Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government action, internet or telecommunications outages, or third-party service disruptions.

14. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a merger, acquisition, reorganization, or sale of assets, with notice to you.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

16. Entire Agreement

These Terms, together with our Privacy Policy, our Refund & Cancellation Policy, and any order forms or supplementary terms agreed in writing, constitute the entire agreement between you and Nawah Ltd regarding your use of the service and supersede any prior agreements or communications on the same subject matter.

17. Notices

Notices to Nawah Ltd should be sent to contact@nawah.ai. Notices to you may be sent to the email address associated with your account or posted within the platform.

18. Publicity

With your prior written consent, we may identify you as a Nawah customer (including using your company name and logo) on our website, marketing materials, and customer lists. You may withdraw your consent at any time by writing to contact@nawah.ai, after which we will stop using your name and logo in new materials within a reasonable period.

19. Export Controls and Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions, and that you are not on any restricted-party list maintained by relevant governmental authorities. You agree to comply with all applicable export control and sanctions laws when using Nawah.

20. Governing Law and Disputes

These terms are governed by Egyptian law. Any disputes arising out of or in connection with these Terms will be resolved in the competent courts of Cairo, Egypt.
